PTCL files merger application for Telenor Pakistan and Ufone with PTA

Pakistan Telecommunication Authority has received an application from Pakistan Telecommunication Company Limitedseeking approval to merge the operations of Telenor Pakistan and Ufone, official sources told Business Recorder.

PTCL formally submitted its request to the authority on January 26, 2026, placing the proposed consolidation under formal regulatory review. The authority is expected to complete its assessment in about one and a half to two months. As part of the review, PTA officials will examine the merger’s business plan, network infrastructure, tower assets, spectrum holdings and other operational elements before deciding whether to grant approval for the formal merger, including transfer and consolidation of licences and spectrum.

If the regulator clears the merger plan, PTCL will then approach the Securities and Exchange Commission of Pakistan for corporate and financial clearance. After that, PTCL will seek final court approval of the Scheme of Arrangement, a legal step required to complete the merger, according to the sources.

The merger proposal comes after PTCL completed its acquisition of Telenor Pakistan and Orion, marking a step in consolidating its mobile segment by integrating Telenor’s operations with Ufone’s existing infrastructure and subscriber base. The full regulatory and legal approval process is expected to take around five to six months.

The PTA’s review will assess the potential impact of the merger on market competition, spectrum concentration and consumer interests before any final approval is granted.
