PTA issues NOC for Telenor Pakistan merger into PTML
Approval clears licence transfer, amalgamation to proceed under PTCL structure

The Pakistan Telecommunication Authority (PTA) has issued a No Objection Certificate (NOC) for the consolidation and transfer of licences related to the merger of Telenor Pakistan into Pak Telecom Mobile Limited (PTML), both subsidiaries of Pakistan Telecommunication Company Limited (PTCL).
In a disclosure to the Pakistan Stock Exchange on Friday, PTA said the amalgamation will be implemented through a scheme of arrangement in accordance with applicable laws. The NOC covers both licence transfer and the consolidation required for the transaction.
The company added that further developments regarding the merger will be communicated to the exchange in line with regulatory requirements.
On March 24, 2026, PTA approved the proposed amalgamation of Pak Telecom Mobile Limited and Telenor Pakistan, both wholly owned subsidiaries of Pakistan Telecommunication Company Limited, according to a filing submitted to the Pakistan Stock Exchange.
The approval was granted through an order dated March 19, 2026, subject to unconditional acceptance of regulatory conditions within 15 days. The merger is to be executed through a scheme of arrangement under applicable legal and regulatory frameworks.
Pakistan Telecommunication Company Limited had informed the exchange under Rule 5.6.1 of the PSX Rule Book and provisions of the Securities Act, 2015, stating that further updates would be shared as the process progresses.
