Gatron approves scheme of arrangement with Nova Frontiers, Ghani & Tayub

Gatron Industries Limited has approved a draft scheme of arrangement involving Nova Frontiers Limited and Ghani & Tayub (Private) Limited, according to a disclosure submitted to the Pakistan Stock Exchange on Monday.

The company said its board of directors, through a resolution by circulation dated May 2, 2026, approved the proposed arrangement under Section 279 of the Companies Act, 2017.

The scheme involves Gatron (Industries) Limited and the two associated entities along with their shareholders, as part of a restructuring process.

The board also approved supplemental audited financial statements for the period ending December 31, 2025 to support the proposed transaction.
