Ghani ChemWorld approves partially redeemable shares issue, plans sale of 70 million GCIL shares

Ghani ChemWorld Limited has approved a right issue of partially redeemable shares (PRS) and authorised the sale of a significant equity stake in Ghani Chemical Industries Limited, according to resolutions passed at its extraordinary general meeting held on May 2, 2026.

The company said in a notice to the PSX that shareholders approved the issuance of 1,250,719 partially redeemable shares at a price of Rs100 per share, with a total issue size of Rs125,071,900. The right issue represents approximately 0.50% of the company’s existing paid-up capital, with shareholders entitled to receive five PRS for every 1,000 ordinary shares held.

Each PRS will carry a par value of Rs100, comprising a redeemable portion of Rs90 per share and an irredeemable portion of Rs10 per share.

The board has been authorised to issue the shares in one or more tranches, determine the entitlement date, and finalise operational aspects of the offering in line with regulatory requirements.

In addition, the board has been granted authority to modify terms of the PRS, including rights, conversion features and redemption structure, and to issue further PRS up to the authorised capital limit of Rs1 billion, subject to applicable laws.

Separately, shareholders approved the disposal of up to 70 million ordinary shares of Ghani Chemical Industries Limited (GCIL) held by the company, representing approximately 12.27% of GCIL’s issued share capital.

The shares will be sold in the open market in tranches at prevailing market prices, with a minimum sale price set at Rs30 per share.

The board, along with the chief executive officer and company secretary, has been authorised to complete all regulatory and procedural requirements to implement the resolutions.
