Reliance Cotton Spinning Mills to be delisted from PSX on June 29 after merger with Sapphire Fibres 

Reliance Cotton Spinning Mills Limited (RCML) will be delisted from the Pakistan Stock Exchange (PSX) with effect from Monday, June 29, 2026, following its merger with and into Sapphire Fibres Limited.

According to a PSX notice, the delisting follows the merger and amalgamation of Reliance Cotton Spinning Mills Limited, referred to in the notice as RCML, with Sapphire Fibres Limited and the completion of all relevant requirements.

The exchange referred to its earlier notice No. PSX/N-396 dated April 08, 2026, and informed all concerned that RCML would stand delisted from the exchange from June 29, 2026.

The delisting marks the completion of a process that began after Sapphire Fibres Limited announced in September 2025 that its Board of Directors had approved a merger plan with Reliance Cotton Spinning Mills Limited.

In a notification filed with the PSX at the time, Sapphire Fibres said its board had approved the Scheme of Compromises, Arrangement and Reconstruction for the amalgamation and merger of Reliance Cotton Spinning Mills Limited and its members with and into Sapphire Fibres Limited.

Under the merger plan, Reliance Cotton Spinning Mills Limited was to be dissolved without liquidation after completion of the process.

Sapphire Fibres shares were to be issued to the registered shareholders of Reliance Cotton Spinning Mills Limited according to the swap ratio determined by M/s. Shinewing Hameed Chaudhri & Co, Chartered Accountants.

Sapphire Fibres Limited was incorporated on June 5, 1979, as a public company under the Companies Act, 1913, now the Companies Act, 2017. The company is primarily engaged in the manufacturing and sale of yarn, fabrics and garments.

Reliance Cotton Spinning Mills Limited was incorporated on June 13, 1990, as a public limited company under the Companies Ordinance, 1984, now the Companies Act, 2017. Its principal activity is the manufacturing and sale of yarn.
